These Terms of Service (the “Terms”) govern your use of the website at brainyneurals.com and its subdomains (together, the “Website”) operated by Brainy Neurals Private Limited (“BrainyNeurals,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Website.

These Terms apply to your use of the Website only. If you become a client and engage BrainyNeurals for AI development services, that engagement is governed by a separate Master Service Agreement (“MSA”) with applicable Statement of Work (“SOW”), not by these Terms. In case of conflict between these Terms and an executed MSA, the MSA controls with respect to the engagement it governs.

These Terms form a binding legal contract between you and BrainyNeurals. Read them carefully. If you are accessing the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” in these Terms refers to both you as an individual and the organization on whose behalf you are acting.

BrainyNeurals is an enterprise AI development company delivering production artificial intelligence systems for enterprise clients. The entity publishing this Website and offering these Terms is Brainy Neurals Private Limited.

The Website provides information about our services, case studies, technical blog content, an AI Readiness Assessment tool, and mechanisms to contact us about potential engagements. The Website is not itself a service — it is an informational and lead-generation resource. Our services are delivered through negotiated engagements governed by separate agreements.

  • Using the AI Readiness Assessment tool or other Website tools to generate reports you sell or distribute as your own
  • Using Website content as a substitute for developing your own original content in any commercial context
  • Scraping our service descriptions to compete with us using our positioning

Prohibited Abuse of Forms and Communication Channels

  • Submitting false or misleading information through contact forms, newsletter signup, or other inquiry mechanisms
  • Using forms for purposes other than legitimate business inquiry — including spam, harassment, or solicitation of our team for unrelated matters
  • Impersonating others or misrepresenting your identity, affiliation, or authority

Prohibited Interference

Consequences of Violations

  • Our service descriptions, case studies, blog posts, and other published content
  • Technical illustrations, diagrams, and visual assets

Except for the limited license granted in Section 3, these Terms do not transfer any intellectual property rights to you. All rights not expressly granted are reserved.

“BrainyNeurals,” the BrainyNeurals logo, and other marks used on the Website are trademarks of BrainyNeurals. You may not use our trademarks:

  • In ways that suggest we endorse you, your products, or your services
  • In ways that imply a partnership, affiliation, or licensing relationship that does not exist
  • As part of your own product or service names

We do not claim ownership of ideas, feedback, or suggestions you voluntarily submit, but we may use such ideas without compensation or attribution unless a separate agreement provides otherwise. Do not submit confidential or proprietary information to us through public forms — if you need to share confidential information, request a mutual NDA first.

Infringement Claims

Confidential Information

Do not submit confidential or proprietary information through our public forms. Information you submit is not subject to non-disclosure protections unless we have signed a Mutual NDA with you before the submission. If you need to share confidential information about an engagement scope:

  • Request a Mutual NDA in your inquiry
  • We will send a Mutual NDA template within 1-2 business days
  • After NDA signature, you can share confidential details

Newsletter Subscription

Subscribing to our newsletter means you consent to receive periodic emails from us with technical content, case study excerpts, and occasional announcements. You can unsubscribe at any time using the link in every newsletter email. Unsubscribing does not affect our obligations under any engagement we have with your organization — it only ends newsletter delivery.

AI Readiness Assessment

The AI Readiness Assessment is an interactive self-assessment tool. By completing the Assessment:

  • You agree to provide honest answers to the best of your knowledge
  • You acknowledge that the tier result returned is informational and does not constitute professional advice or a commitment of any kind
  • You agree that we may analyze aggregate assessment responses for research purposes in anonymized form
  • You acknowledge that your assessment responses are stored for the period described in our Privacy Policy

The AI Readiness Assessment available on our Website is an interactive self-assessment tool providing informational guidance about your organization’s readiness to pursue AI engagements. Specific terms apply to its use:

  • Generates a tier result based on your answers to predefined questions, using a proprietary methodology we have developed
  • Does not constitute professional advice, recommendation, or engagement commitment from BrainyNeurals
  • Should not be relied upon as the sole basis for business decisions — for material decisions, consult professionals including your own technical and legal advisors

Your Responsibilities When Using the Assessment

  • Provide honest answers to the best of your knowledge
  • Understand that different answers would produce different tier results
  • Acknowledge that the tool generalizes — your specific situation may not fit the tier framework precisely
  • Use the tier result as a starting point for deeper analysis, not as a final determination

Our Assessment Methodology

The Assessment’s scoring methodology, question weighting, and tier definitions are our proprietary intellectual property. You may not:

  • Reverse-engineer the methodology by running the Assessment with various inputs to map outputs
  • Replicate the Assessment for your own commercial purposes
  • Incorporate our tier structure or methodology into your own products or services
  • Sell or distribute Assessment results as if they were independent professional opinions

You may: share your own tier result with colleagues at your organization for internal discussion; reference the Assessment in your own internal materials; recommend the Assessment to colleagues who might benefit from it.

Data Handling

Information you provide to the Assessment is handled per our Privacy Policy. Aggregate anonymized data from Assessments may be used to refine the tool and generate industry research; individual responses are not shared externally without your explicit permission.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRAINYNEURALS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Loss of goodwill or reputation

Cap on Direct Damages

This cap applies because the Website is provided without charge and is informational in nature. Engagement-specific liability caps — which may be substantially higher — are addressed in Master Service Agreements.

Exceptions

The limitations and exclusions in this Section 12 do not apply to:

  • Liability that cannot be excluded under applicable law (including liability for gross negligence or willful misconduct in jurisdictions where this applies)
  • Our indemnification obligations under Section 13 (where applicable)
  • Liability arising under a separately-executed Master Service Agreement, which has its own liability framework

Some jurisdictions do not allow certain limitations of liability. If you reside in such a jurisdiction, the limitations above apply to the maximum extent permitted by your local law.

Section 13 · Indemnification

Indemnification #

You agree to indemnify, defend, and hold harmless BrainyNeurals, its affiliates, directors, officers, employees, agents, and licensors from and against all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

  • Your violation of these Terms
  • Your use of the Website in a manner that violates these Terms
  • Your violation of applicable law through your use of the Website
  • Your violation of third-party rights, including intellectual property, privacy, or contractual rights
  • Content you submit or transmit through the Website
  • Misrepresentation of your identity, authority, or affiliation when using the Website

Process

If a claim subject to this indemnification is made against us, we will:

  • Notify you promptly in writing of the claim
  • Allow you to control the defense of the claim with counsel of your choosing (subject to our approval of counsel, which shall not be unreasonably withheld)
  • Cooperate reasonably with your defense

We reserve the right, at our option and expense, to assume the exclusive defense of any claim for which you would have indemnification obligations. In such case, you agree to cooperate with our defense.

You may not settle any indemnified claim without our prior written consent if the settlement would impose any obligation or admission on our part.

  • If you do not agree to the modified Terms, discontinue use of the Website

For non-material clarifications (correcting typos, clarifying language without changing substance), we may update the Terms without formal notice.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable, preserving the original intent as closely as possible.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of any other provision. Waivers must be in writing and signed by a BrainyNeurals representative with authority.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at our discretion, including in connection with a merger, acquisition, sale of assets, or reorganization.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BrainyNeurals regarding your use of the Website. If you have an executed Master Service Agreement with us, that agreement also applies to your engagement — but for Website use specifically, these Terms govern.

Priority of Documents

In the event of conflict between these Terms and our Privacy Policy or Cookie Policy, the Privacy Policy or Cookie Policy prevails for matters within their respective scopes. In the event of conflict between these Terms and an executed Master Service Agreement, the MSA prevails for matters within its scope.

Relationship of the Parties

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and BrainyNeurals. You are not authorized to act on our behalf unless we expressly grant you such authority in writing.

Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Notices

Legal notices to BrainyNeurals must be sent to legal@brainyneurals.com. We may send notices to you via email to any address you have provided through the Website or via prominent posting on the Website.
